Trust Board Meeting, 3rd May 2004

Minutes of previous meeting
Previous minutes were agreed as a fair record of the previous meeting.
Treasurer’s report
Estimated that £14,000 is in the account.
Membership update
Currently at 105 with a period of renewals continuing.
Matters Arising
Trust badges – better quote had been obtained – look at again in conjunction with membership.
Youth Development – following meeting with John Drysdale it was decided that further information would be sought in order to put a robust proposal forward at the Trust AGM.
Review of RRISS Working Groups:
- Land Petition – George Howie to contact Jim Macnamara to see whether he has raised the concerns with the club and whether any answers are forthcoming; Mike Melville to be contacted regarding timing of local plan consultation
- Consultation – plan for the event to be taken forward with Mike Melville
- Shareholding – further meeting has taken place and wider group established
- Stadium – some crossover with shares group regarding fundraising
- Business Plan – to be updated with info from club accounts
Proposal to Change Membership Fees:
- Discussion over how Junior members would be served
- Corporate members section may need reviewed
PROPOSAL: That the review document should be accepted by the board in principle and that this recommendation should be taken forward at the AGM in June/July.

Proposal Carried
Refinement of proposal required along with shorter, clearer explanation.
Auditors:
- Appointment required as matter of urgency.
- Neil Langtree has passed on contact name to ask for quotation and timescale.
- [Note: Since the meeting Saffery Champness (last year’s auditor) have been in touch indicating their willingness to do the job – Chris McFarlane will establish situation and report back]
Club AGM Report:
- Shareholders agreed to issue 150,000 £1 shares in the holding company
- Also agreed that creditors could receive shares in lieu of debt
- Amendment was passed to protect all existing shareholders rights until July 1 2004, thereafter shares would be “sold” to whoever
- Option to be given at Trust AGM to exercise the rights to circa 4,500 shares – fuller discussion to take place at the next board meeting
